Transnational grain trade is indispensable to food security yet structurally resistant to legal visibility. Price-relevant facts, contractual risk allocations, and informational architectures are frequently constituted through private infrastructures, limiting their legibility to public authorities and non incumbent market participants. The resulting governance embodies a private-law problem of market memory. Embracing an EU and BRICS+ perspective, this article defends the thesis of a digitally engineered “borsa” (stock exchange) as a hybrid institutional infrastructure enabling fairness through structured legibility; a competition-law and private-law architecture, not merely a transparency instrument, producing a shareable evidentiary substrate for markets reliant on private contractual memory, documentary finance and platform-based data accumulation.
